Board structure, appointment, representation and decision-making within Stichting Support a Bit.
Stichting Support a Bit is a foundation under Dutch law. This page describes the main features of its governance structure, as laid down in the statutes of 29 April 2026.
Board structure
The board consists of three natural persons, holding the positions of chair, secretary and treasurer. The current board composition is:
- Melvin Frank Julien Miller — chair
- Pearly Carolien Lynch — secretary
- Shania Latifah Carolyne Miller — treasurer
A board member may not hold any position that is incompatible with the interest of the foundation.
Appointment and term
Board members are appointed by the board itself. When a vacancy arises, the sitting board fills it within a reasonable period. Board members step down according to a rotation schedule established by the board and may be reappointed, in accordance with the provisions of the statutes.
Representation
The foundation is represented by the board as a whole. In addition, authority to represent the foundation is granted to:
- the chair acting jointly with either the secretary or the treasurer, or
- the secretary acting jointly with the treasurer.
Conflict of interest
A board member does not take part in deliberation or decision-making when he or she has a direct or indirect personal interest that conflicts with the interest of the foundation. This rule is set out in article 8, paragraph 8 of the statutes. If no board decision can be taken as a result, the decision is taken by the board with the conflict explicitly recorded in the minutes.
Meetings
The board meets at least four times per year and additionally whenever the chair or two board members consider it necessary. Meetings may be held in person or through a digital channel. Minutes of every meeting are taken by the secretary.
Decision-making
The board decides by absolute majority of the votes cast, unless the statutes provide otherwise. Decisions on amendment of the statutes and on dissolution require a two-thirds majority in a full meeting; if the quorum is not met, the decision can be taken in a second meeting by the same majority regardless of the number of board members present. A tied vote on matters means the proposal is rejected; on persons, lots decide.
Oversight and transparency
The foundation annually publishes its activity and financial report, its statutes and the governance details described here. In doing so, the foundation meets the transparency requirements that apply to ANBI organisations.
